1. Platform Classification and Scope of Use
Vectyl LLC ("Vectyl") provides a high-speed spatial compute environment and decision-support engine. The platform is designed exclusively for complex data ingestion, constraint simulation, and mathematical routing optimization. Vectyl is an analytical calculation tool. We provide computational infrastructure; we do not provide certified civil engineering, land surveying, or physical construction advisory.
2. Absolute Client Responsibility (Zero-Liability Clause)
Physical infrastructure deployment carries inherent operational risk. Vectyl simulates reality based on the data provided; it does not replace the necessity for human oversight. By accessing the Vectyl engine, the Client explicitly agrees that:
- All spatial data, simulated routes, and capacity models generated by Vectyl must be reviewed, verified, and authorized by the Client's certified internal engineering personnel.
- The Client assumes 100% of the operational responsibility and liability for any physical trenching, construction, deployment, or network alterations.
- Vectyl LLC, its founders, and its partners are entirely indemnified against any physical, environmental, or financial damages resulting from physical actions taken based on platform simulations.
3. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Vectyl LLC be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses. Under all circumstances, the total aggregate liability of Vectyl LLC arising from or relating to this agreement shall be strictly capped at 100% of the total fees paid by the Client to Vectyl LLC in the twelve (12) months preceding the claim.
4. Forward-Deployed Deployments and Intellectual Property
Access to the Vectyl engine, whether via a pilot environment or an annual enterprise license, grants the Client a limited, non-exclusive, non-transferable license to utilize the compute environment. The underlying algorithms, routing logic, and proprietary engine architecture remain the sole, exclusive intellectual property of Vectyl LLC.
5. Governing Law and Jurisdiction
Vectyl LLC is a corporate entity registered in the State of Wyoming, USA. These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions, recognizing the international B2B nature of our deployments.
